Terms of Service

Digital HaloS offers a range of digital and web services. All of our clients require different limits of services. Digital HaloS will complete a statement of work with each client we are producing work for.

This document outlines general information on our services and the terms by which we work.

Hosting Services: 

Digital HaloS hosting service is through Cloudways, which is accessible from anywhere in the world, so we are constantly able to manage client websites:


  • Pricing depends on the requirements of the website,
  • The client will have the cost outlined in their Services Of Work document.
  • Monthly or Annual payment options
  • SSL Certificates on go live
  • Monthly backups
  • If the server takes a website down for any reason Digital HaloS will automatically receive a notification. Digital HaloS will notify clients on that server within a reasonable time from obtaining the notification from Cloudways. Digital HaloS will work quickly to resolve the server issue within a reasonable time frame.

If our client requires hosting of their website through another hosting provider (ie: Squarespace), and there is an issue/s Digital HaloS will oncharge the client to fix the issue and take no responsibility for the impact it causes.

Websites Design and Development

Digital HaloS will work with you to get the right look and feel of the website, maintaining up-to-date UX practices and trends. We require approval of the design to continue. All direction comes from our clients of their individual needs. Images can be supplied by the client or Digital HaloS can supply stock images. Timeframes and delivery will be subject to the requirements of the work outlined in the Statement Of Work.  At any stage during the build progress, clients can terminate the agreement, however, work up until that point needs to be paid for in full. On payment, Digital HaloS will provide all completed work.

3rd party Apps and Plugins

We will often recommend, add and install 3rd party apps and plugins to sites outlined in a Statement Of Work and agreed upon by the client.  Digital HaloS is in no way responsible for any 3rd party coding, we will only change what is possible within the 3rd software.

Payment for the 3rd party is paid directly from clients or on charge by Digital HaloS.

Project Management

Our project management services are to provide help with other 3rd party agencies/contractors if required for a service or work. This will be outlined in the client’s Statement Of Work. Digital HaloS will be responsible for the timeline of delivery. Digital HaloS does not take responsibility for the coding of 3rd party agencies/contractors or the updating and maintenance of this work.

Marketing Services

Digital HaloS offers a range of digital marketing and general marketing services.  All marketing work will be outlined in the Statement Of Work and agreed on by the client. Any 3rd party costs ie: Google Ads, Facebook, etc need to be paid directly by the client.

Automatic Renewal: The marketing retainer contract will automatically renew for another fixed period (as per the current retainer contract) unless revised and agreed on by both parties at least 30 days prior to the end of the current retainer contract.

Change in Scope: If the client wishes to change the scope of the marketing retainer services, they must provide written notice to Digital HaloS at least 30 days prior to the desired change date. Digital HaloS may charge an alternative fee for any changes to the scope of services.

Termination of Marketing Services

Digital HaloS marketing retainers/packages are for a fixed period agreed to by the client and Digital HaloS.

Either party may terminate this contract at any time upon 60 days written notice to the other party.

If the client terminates this contract for any reason other than Digital HaloS breach of contract, the client shall be responsible for paying Digital HaloS for all services rendered up to the date of termination.

If Digital HaloS terminates this contract for the client’s breach of contract, the client shall be responsible for paying Digital HaloS for all costs and expenses incurred in connection with the termination, including but not limited to reasonable attorneys’ fees.

Marketing Services Payments

The monthly services payment shall be invoiced on the 1st of each month due and payable within 7 days. If the Client fails to pay the monthly services payment on or before the due date or without communication as to why, Digital HaloS may charge a late fee of $150.

Website Payments 

Payment for work and services will be outlined in the Statement Of Work with payment dates.  Failure to make payment will result in the termination of the Statement Of Work and the shutdown of the website.  Digital HaloS will give access to the website when final payments for the website work are received.

If you do not pay the charges on time we may, we may do any or all of the following:

  • Suspend or restrict your use of the services
  • Terminate the current Statement of Work
  • Refer your account to our debt collection agency; charge you all collection costs incurred by us, and all costs and disbursements incurred by us in recovering the unpaid Charges (including but not limited to internal administration fees, legal costs on a solicitor, and own client basis, our collection agency costs, and bank dishonor fees);
  • Set off any amounts due from you against any money due from us or held in our account to your credit.

Statement Of Work

Statement Of Work is a document of the work Digital HaloS will complete for each individual client. Both parties will agree to the Statement Of Work before any work is started. Digital HaloS is solely responsible for the delivery of the Statement Of Work


All work paid for is the ownership of the client.
